PART A: GENERAL TERMS AND CONDITIONS
1. INTRODUCTION & ACCEPTANCE
These Terms constitute a binding legal agreement (“Terms”) between You (the Merchant or end-user) and Razorpay Software Private Limited (“Razorpay”, “we”, “us”, or “our”). These Terms govern your access to and use of Razorpay’s Services, including payments, technology, software, analytics, APIs, mobile apps, websites, and other tools offered via our Platform.
By accessing the Platform or using any Service, You expressly agree to be bound by:
- These General Terms (Part A),
- Any Specific Terms (Part B),
- Our Privacy Policy,
- Any supplemental terms for specific services.
If You do not agree, immediately cease use.
Razorpay may update these Terms at any time. Continued use constitutes acceptance of revised terms. It is Your responsibility to review them periodically.
2. DEFINITIONS
Key defined terms include:
- “Merchant”: Customer registering to use Razorpay Services.
- “Services”: Payment aggregation, POS, e-mandate, subscription, tokenization, etc.
- “Platform”: Website, app, API, or channel through which Services are accessed.
- “Facility Providers”: Banks, NBFCs, NPCI, card networks (Visa, Mastercard, RuPay), etc.
- “Applicable Laws”: Indian laws including RBI guidelines, IT Act, PMLA, GST Act, DPDP Act 2023, FEMA, TRAI rules.
- “KYC Documents”: Identity, address, business proof, Udyam, GST certificate, etc.
- “Transaction Amount”: Amount paid by customer for goods/services.
- “Permissible Deductions”: Razorpay fees, chargebacks, taxes, penalties.
- “Escrow Account”: Bank account held by Razorpay with an AD-1 bank to hold funds before settlement.
- “NPCI”: National Payments Corporation of India.
- “RBI”: Reserve Bank of India.
- “Affiliate”: Entity under common control with Razorpay (e.g., Ezetap Mobile Solutions Pvt. Ltd. for POS).
All capitalized terms not defined herein shall have the meaning ascribed in Part A.
3. PROPRIETARY RIGHTS
- Razorpay retains all rights, title, and interest in the Platform, Services, code, trademarks, logos, and intellectual property.
- You are granted a non-exclusive, non-transferable, revocable license to access and use the Platform for personal/business purposes.
- You must not:
- Reverse engineer, decompile, disassemble, or extract source code.
- Copy, modify, distribute, sell, sublicense, or create derivative works.
- Remove or alter copyright/trademark notices.
- Use Razorpay’s marks without prior written consent.
- You grant Razorpay a royalty-free, irrevocable, worldwide license to use Your data, content, trademarks, and materials to:
- Operate and improve Services,
- Conduct analytics (aggregated/anonymized),
- Create marketing/promotional content.
- You indemnify Razorpay for claims arising from Your materials.
4. USER OBLIGATIONS & ACCOUNT SECURITY
4.1 Eligibility
- You must be at least 18 years old and capable of entering into binding contracts under Indian law.
4.2 Account Security
- You are solely responsible for:
- Maintaining confidentiality of login credentials, passwords, and API keys.
- All activities performed under Your account — whether by You or third parties.
- Razorpay is not liable for unauthorized access due to Your negligence.
4.3 Accuracy of Information
- You must provide true, accurate, current, and complete information during registration and onboarding.
- False, incomplete, or misleading information may result in immediate suspension or termination of Services.
4.4 Consent to Communications
- By using Services, You consent to receive communications via:
- SMS, WhatsApp, Email, Phone calls, Push notifications.
- You waive all DND/NCPR registrations under TRAI regulations for Razorpay-related communications.
- You authorize Razorpay and its partners to contact You for:
- Service updates,
- Product/service offers,
- Marketing promotions.
4.5 Data Sharing
- You consent to Razorpay sharing Your information with:
- Partner banks, NBFCs, Affiliates,
- Third-party service providers (payment processors, KYC vendors, fraud detection firms),
- Government authorities (RBI, income tax, enforcement agencies) as required by law.
4.6 Compliance with Applicable Laws
- You are solely responsible for compliance with:
- RBI’s Payment Aggregator Guidelines,
- Prevention of Money Laundering Act (PMLA),
- KYC norms,
- GST, Income Tax Act (Sections 194H, 194O, 194Q, 206C(1G)),
- DPDP Act 2023,
- Foreign Exchange Management Act (FEMA),
- Any sector-specific regulations (gaming, health, education, etc.).
4.7 KYC & Due Diligence
- You must submit all requested KYC Documents promptly (e.g., PAN, GST, incorporation certificate, bank statement, address proof).
- Razorpay may request additional documents, including customer invoices or transaction records.
- Failure to provide documents may result in suspension of Services and fund settlements.
- Razorpay may share KYC data with Facility Providers or regulators as required by law.
4.8 Prohibited Activities
You shall not use Services for:
- Virtual currencies / Cryptocurrencies / NFTs (Clause 2.14(e), 17.39)
- Gambling, betting, lotteries, fantasy sports (Clause 17.14, 17.42)
- Adult content, pornography, escort services
- Drugs, weapons, counterfeit goods
- Pyrotechnics, hazardous materials
- Multi-level marketing / pyramid schemes
- Money laundering, fraud, phishing
- Any activity prohibited under Indian law

4.9 No Agency Representation
You must not:
- Represent Yourself as an agent, representative, or partner of Razorpay.
- Suggest that Razorpay endorses Your products/services.
- Make warranties or commitments on behalf of Razorpay or its Facility Providers.
4.10 Politically Exposed Persons (PEPs)
You warrant that neither You, nor any Beneficial Owner, is a Politically Exposed Person (as per RBI KYC Guidelines). Notify Razorpay immediately if this becomes untrue.
4.11 Customer Consent
You represent and warrant that:
- You have obtained explicit, informed consent from Your customers to share their personal data (including payment details) with Razorpay and its Affiliates.
- Such consent includes use for:
- Transaction processing,
- Fraud prevention,
- Regulatory reporting (e.g., under Section 94 of BNSS),
- Tax compliance (TCS, TDS).
4.12 Record Keeping
- Retain all transaction records, invoices, and supporting documents for 10 years.
- Provide originals upon request to Razorpay, auditors, RBI, or law enforcement — without delay.
- Cooperate fully with audits and inspections.
5. PAYMENTS & FEES
5.1 Fee Structure
- Fees are determined by Razorpay and may vary by product, volume, or risk profile.
- Fees include MDR charges (except zero MDR for UPI and RuPay Debit Cards).
- Fees are exclusive of applicable taxes (GST, TDS, etc.).
5.2 Invoicing
- Monthly invoices issued via Dashboard.
- Disputes must be raised within 10 days of invoice date.

- Funds settled to Your bank account after deduction of fees and permissible deductions.
- Settlement timelines vary by service (e.g., UPI: T+1, Card: T+2).
- Razorpay may delay or withhold settlement for:
- Suspicious activity,
- Pending chargebacks,
- Non-compliance,
- Regulatory directives.
5.5 Refunds
- You may initiate refunds at Your discretion.
- Refunds must be routed back to the original payment instrument.
- Razorpay fees apply even if refund is issued.
5.6 Chargebacks
- You bear full liability for all chargebacks (domestic/international).
- Razorpay will deduct chargeback amount from Your settlement.
- You must submit Chargeback Documents within 3 calendar days.
- Failure to provide documents = automatic reversal to customer.
- Razorpay may issue a debit note for shortfall. Repayment due within 7 days.
5.7 Set-off Rights
Razorpay may set-off any amounts owed by You (fees, chargebacks, penalties) against:
- Settlements due to You,
- Any other funds held by Razorpay on Your behalf.
No prior notice required.
6. PRIVACY POLICY
By using Services, You consent to the processing of Your personal and sensitive personal data as outlined in Razorpay’s Privacy Policy .
Data may be used for:
- Service delivery,
- Fraud detection,
- Regulatory compliance,
- Marketing (with opt-out possible prospectively).

7. THIRD-PARTY LINKS & PARTNERS
- Platform may contain links to third-party websites (banks, lenders, insurance providers).
- Razorpay is not responsible for their content, privacy practices, or terms.
- Interactions with third parties are at Your own risk.
8. DISCLAIMER OF WARRANTIES
SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
Razorpay makes no warranties regarding:
- uninterrupted or error-free operation,
- fitness for a particular purpose,
- accuracy of third-party offers.
9. LIMITATION OF LIABILITY
Razorpay’s aggregate liability under these Terms shall not exceed one month’s fees paid by You for the relevant Service.
Razorpay is not liable for:
- Indirect, incidental, consequential, punitive damages,
- Loss of profits, data, revenue,
- Viruses, system failures,
- Acts of God, cyberattacks, war, strikes.
Liability is reduced proportionally if loss is contributed to by You or Your third parties.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Razorpay, its Affiliates, officers, employees, and agents from:
- Any claims arising from Your breach of these Terms,
- Violation of Applicable Laws,
- Unauthorized use of Services,
- Fraudulent transactions,
- Intellectual property infringement,
- Customer disputes related to Your goods/services.
This obligation survives termination.
11. CARD NETWORK RULES
You agree to comply with all rules of card networks (Visa, Mastercard, RuPay, Amex).
Failure to comply may result in fines levied on Razorpay — which You must reimburse immediately.
Razorpay may amend these Terms to align with updated network rules.
12. WAIVER & ASSIGNMENT
- No waiver of any right is effective unless in writing.
- A waiver of one breach does not waive future breaches.
- You may not assign these Terms.
- Razorpay may assign its rights without notice.
13. FORCE MAJEURE
Razorpay is excused from performance due to events beyond reasonable control:
- Natural disasters, pandemics, war, terrorism,
- Cyberattacks, hacking, malware,
- Utility failures, government orders.
No liability arises for delays or non-performance during such events.
14. ANTI-BRIBERY & SANCTIONS
You warrant that:
- You and Your representatives do not offer, give, or promise bribes, gifts, or favors to:
- Government officials,
- Public servants,
- Political parties,
- Regulatory bodies.
- You comply with all anti-corruption laws (including FCPA, UK Bribery Act, India’s Prevention of Corruption Act).
Violations may lead to immediate termination.
15. SUSPENSION & TERMINATION
Razorpay may suspend or terminate Services immediately without notice if:
- You breach any Term,
- You process prohibited goods/services,
- You trigger high-risk fraud scores,
- There are excessive chargebacks/refunds,
- You infringe IP rights or sell counterfeits,
- Regulatory authority directs action,
- You materially misrepresent Your business,
- Razorpay deems Your activity unacceptable.
Upon termination:
- You must stop using Services immediately.
- You remain liable for all outstanding fees, chargebacks, penalties.
- Razorpay may retain settlement amounts to cover liabilities.
- No compensation or reimbursement is due to You.
16. PROHIBITED PRODUCTS AND SERVICES
You shall not use Services for:
- Adult content, pornography, escort services
- Alcohol
- Human organs/body parts
- Spam/email list tools
- Cable descramblers
- Child pornography
- Copyright circumvention devices (mod chips)
- Unauthorized copies of books, music, movies
- Pirated software/games
- Counterfeit goods, fake autographs
- Illegal drugs & paraphernalia
- Drug test evasion kits
- Endangered species/products
- Gambling, betting, lottery tickets
- Fake IDs, passports, diplomas
- Hacking tools/guides
- Illegal goods/services
- Miracle cures (unsubstantiated health claims)
- Offensive/hateful material
- Crime scene memorabilia
- Explosives, chemicals, radioactive materials
- Regulated items (airbags, pesticides, surveillance gear)
- Securities/bonds
- Tobacco/cigarettes
- Radar jammers, traffic signal changers
- Firearms/ammo/knives
- Wholesale currency exchange
- Live animals or animal parts
- MLM collection fees
- Matrix schemes
- Deceptive work-from-home schemes
- Drop-shipped merchandise
- Non-compliant products (any jurisdiction)
- High chargeback-prone services (e.g., adult content)
- Ambiguous businesses (telephony, online medicine)
- Outrightly banned activities (betting, moral turpitude content)
- Pyramid schemes, get-rich-quick programs
- Mailing lists
- Cryptocurrency, virtual currency, NFTs
- Money laundering services
- Database providers for telemarketing
- Auction houses
- Activities prohibited by TRAI
- Any other activity prohibited under Indian law
- Chit funds / Nidhi companies (except PSU entities)
- Unlicensed MSB/MVTS (remittance agents, exchange houses)
Razorpay reserves the right to update this list based on regulatory instructions.
17. GOVERNING LAW & DISPUTE RESOLUTION
- These Terms are governed by Indian law.
- Any legal action must be filed exclusively in the courts of Bangalore, India.
- The prevailing party is entitled to recover legal costs, attorney fees, and expenses.
- You acknowledge these Terms have the same force as a signed agreement.
PART B: SPECIFIC TERMS AND CONDITIONS

PART I: ONLINE PAYMENT AGGREGATION SERVICES
- Razorpay facilitates online payment collection.
- Settlement: Net of fees, within agreed timelines (typically T+1/T+2).
- Fee Credits: Optional prepaid credits to offset transaction fees.
- Optimizer: SaaS tool to route payments across gateways. Razorpay acts only as software provider — no liability for gateway failures.
- Value-Added Services: Templates for policies, CRM tools — provided “as-is”. You bear all legal responsibility for their use.
- Fraud & Chargebacks: Full liability on Merchant. Stipulated percentage withheld post-termination for 120 days to cover pending chargebacks.
- EMI Products: Must respond to cancellation requests within 7 working days. Amount recovered from daily settlement if cancelled.
PART IA: CROSS-BORDER PAYMENT AGGREGATION (For Non-Resident Merchants)
- Applies if You’re incorporated outside India and receive payments from Indian customers.
- Settlement: Within 5 Escrow Bank Working Days.
- You must provide Supporting Documents (invoices, transport docs) within 3 days of request.
- Currency conversion fee applies.
- Withholding Tax: Razorpay may deduct Indian withholding tax unless You provide valid No-PE Declaration or DTAA certificate.
- GST Registration: You must determine if You’re liable for OIDAR services and register for GST in India if required.
- Transaction Limit: Max ₹25 Lakh per transaction. Exceeding this = rejection.
- KYC for Customers: Required for transactions > ₹2.5 Lakh.
PART II: E-MANDATE SERVICES
- Enables recurring payments via UPI/NACH.
- Customer must authenticate mandate via Additional Factor Authentication (AFA).
- Razorpay acts only as intermediary — no liability for:
- Declines by banks/NPCI,
- Cancellations by customers,
- Insufficient funds.
- You must obtain explicit consent from customers before initiating mandates.
- You indemnify Razorpay for all claims arising from misuse.
PART III: TOKENHQ SERVICES (Card Tokenization)
- Complies with RBI’s tokenization circular (CO.DPSS.POLC.No.s-516/...).
- You are solely responsible for:
- Obtaining explicit, unambiguous customer consent to tokenize cards (no pre-ticked boxes).
- Informing customers they can delete tokens anytime.
- Providing consent to Razorpay to trigger AFA with issuing bank.
- You store hashed card data? You bear full liability.
- Razorpay has audit rights.
PART IV: SUBSCRIPTION SERVICES
- Automates recurring billing.
- Requires AFA authentication for initial setup.
- Subsequent payments only allowed on successfully authenticated cards.
- Same consent and indemnity obligations as E-Mandate.
- Razorpay not liable for failed payments due to bank issues or customer actions.
PART V: RAZORPAY PARTNER PROGRAM
- Referral program. Separate Partner Terms apply.
PART VI: MAGIC CHECKOUT
- Allows customers to save payment details for faster checkouts.
- You must obtain valid consent under DPDP Act 2023 before sharing customer data with Razorpay.
- RTO Protection: Reimbursement for return shipping fees only if:
- Magic Intelligence feature failed to flag the return,
- Order was not prepaid.
- Invoice submission required for reimbursement. Paid within 30 days.
PART VII: OFFLINE PAYMENT AGGREGATION SERVICES & DEVICES (POS)
7.1 Services Provided
- Devices (mPOS) + Mobile App + Portal + Reconciliation + SMS Pay + Digital Invoicing (via JHKP/BillMe) + Affordability (EMI/BNPL).
7.2 Device Ownership & Usage
- Lock-in period: 12 months for rental devices.
- Early return? Pay remaining rent.
- Device is Razorpay’s property. You may not:
- Sell, lease, modify, reverse-engineer,
- Use in extreme environments (heat, water),
- Tamper with security features.
7.3 Repair & Loss
- You pay full replacement cost for lost/damaged devices.
- Repair charges for damage due to misuse.
7.4 EMI Plus Club Wallet
- Allows Zero-Cost EMI sales.
- Merchant collects 1% processing fee from customer.
- Wallet limit: ₹2 Lakh per device/month, capped at ₹5 Crore total across all merchants.
- Wallet resets monthly.
- Must submit invoices upon request — failure leads to suspension.
7.5 SMS Pay (CNP)
- You are responsible for obtaining customer consent to send SMS payment links.
7.6 Digital Invoicing
- Powered by JHKP Technologies (BillMe).
- You may customize templates.
- You bear responsibility for:
- Accuracy of invoice data,
- Customer consent to share mobile numbers,
- Compliance with GST invoicing norms.
7.7 Fees & Settlement
- Device rentals deducted from settlement.
- Late payment interest: 15% p.a.
- Razorpay may suspend Services for non-payment (>60 days).
